NexTron IT — Partner Agreement
Between Nick & Sara Pty Ltd trading as NexTron IT (ABN 63 618 452 949) ("NexTron", "we") and the partner named in the Schedule ("you").
1. What kind of partner you are
- Referral / Sales Partner: you introduce customers who subscribe to NexTron tools.
- Product Partner (Product Manager): you champion a specific tool — shaping it, testing it, providing first- and second-level support to its customers, and owning the customer relationship day to day.
- You can hold different roles for different tools at the same time. Your role(s) and tool(s) are listed in the Schedule.
2. Commission — Referral / Sales Partners
- You earn commission on subscription plans only. One-off packs and pay-as-you-go top-ups earn nothing.
- Your rates and rate periods are as set out in your Schedule or a written addendum (email from NexTron suffices), and are shown live in your Partner Portal. Rates vary between partners and arrangements; only your own apply to you.
- A customer counts as yours when their account or organisation carries your partner attribution at the time of purchase.
- Ongoing trail commissions: where your Schedule includes an ongoing trail, it is payable only while this agreement remains in force and you remain an active partner — genuinely servicing your referred customers, as reasonably determined by NexTron with reference to your recorded partner activity.
- Cessation: on termination of this agreement for any reason, all future commissions — including ongoing trails on existing customers — cease from the termination date. Commissions properly payable for periods before termination are honoured.
- Anti-avoidance: inducing or encouraging a customer to cancel, re-subscribe, or re-create an account (including under a different email or entity) so that a commission period restarts is a material breach — the related commission is void, and NexTron may terminate this agreement immediately. Commission periods follow the customer relationship, not the account.
3. Commission — Product Partners
- While a sales commission is payable on a payment, your rate applies to what remains of Net Revenue after that sales commission; when none is payable, it applies to Net Revenue in full. The percentages themselves are as set out in your Schedule or a written addendum (email suffices) and shown live in your Partner Portal.
- Selling your own tool earns your Product Partner rate, not a sales commission.
- If NexTron itself makes the sale, sales commission is not payable to anyone and your no-sales-commission rate (per your Schedule or addendum) applies.
- Rates are reviewed yearly and any change applies from the next commission month, in writing.
- In exchange you provide reasonable first/second-level support to the tool's customers, own feedback and feature input, and respond to support tickets for your tool within 2 business days.
4. Net Revenue — the number commissions are calculated on
Net Revenue means the subscription amount excluding GST, on payments received and retained (refunds and chargebacks excluded). Payment-processing fees (e.g. Stripe) are borne by NexTron and are not deducted from the commission base. If a payment is refunded or charged back, the related commission is deducted from your next statement. That is the only claw-back; a customer simply cancelling later costs you nothing already paid.5. When you're paid
- The customer's free month pays nobody.
- Commission for a paid month becomes payable when the customer's next payment clears (e.g. their August commission is payable once September's payment lands), and is paid at the end of that monthly cycle.
- Payment by bank transfer against your valid tax invoice quoting your ABN and your bank details (we deliberately do not store bank details in the platform).
- If you are GST-registered, add GST to your invoice; if not, don't. You confirm your GST status and will tell us if it changes.
6. The relationship
- You are an independent contractor — not an employee, agent, or joint venturer. You can't sign anything, promise anything, or incur costs on NexTron's behalf.
- You may describe yourself as a "NexTron Partner" and use our name and logo only for that purpose and per any brand guidance we give; anything beyond that needs written OK.
- No pricing promises: only published pricing or a written NexTron quote may be represented to customers.
7. Confidentiality & data
- Commission rates, product roadmaps, customer lists and anything not public stays confidential during and after this agreement.
- Customer data belongs to the customer and NexTron; you access only what your role needs and handle it per Australian privacy law.
8. Ending it
- Either side can end this with 30 days' written notice.
- Already-earned commission (per clauses 4–5) is still paid after the end date on its normal schedule.
- Product Partner rates end for revenue months after your support obligations stop.
9. Housekeeping
- Northern Territory law applies.
- This document plus the Schedule is the whole agreement; changes in writing only.
- Nothing here limits rights under Australian Consumer Law.

Acceptance is recorded electronically against your partner account, with version and date, when you agree in the Partner Portal. Your Schedule (roles, tools, attribution and any custom packages) is maintained in the Portal itself.
