NexTron IT — Sales Person & Product Contributor Agreement

Between Nick & Sara Pty Ltd trading as NexTron IT (ABN 63 618 452 949) ("NexTron", "we") and the partner named in the Schedule ("you").
1. What kind of partner you are
Referral / Sales Person: you introduce customers who subscribe to NexTron tools.
Product Contributor: you contribute to a specific tool — testing, documented feedback, demonstrations, and assisting with customer support under NexTron's direction. NexTron owns all customer relationships and support channels at all times; you assist within them.
You can hold both roles at once, including on the same tool and the same customer — a customer you introduce earns your sales trail, and your contributor tier applies to the remainder.
2. Commission — Sales People
You earn commission on subscription plans only. One-off packs and pay-as-you-go top-ups earn nothing.
Your rates and rate periods are as set out in your Schedule or a written addendum (email from NexTron suffices), and are shown live in your NexTron Portal. Rates vary between partners and arrangements; only your own apply to you.
A customer counts as yours when their account or organisation carries your partner attribution at the time of purchase.
Ongoing trail commissions: where your Schedule includes an ongoing trail, it is payable only while this agreement remains in force and you remain an active sales person — genuinely servicing your referred customers, as reasonably determined by NexTron with reference to your recorded partner activity.
Cessation: on termination of this agreement for any reason, all future commissions — including ongoing trails on existing customers — cease from the termination date. Commissions properly payable for periods before termination are honoured.
Anti-avoidance: inducing or encouraging a customer to cancel, re-subscribe, or re-create an account (including under a different email or entity) so that a commission period restarts is a material breach — the related commission is void, and NexTron may terminate this agreement immediately. Commission periods follow the customer relationship, not the account.
3. Commission — Product Contributors
Your commission is a monthly tier per tool, set solely by NexTron: Adviser 0% (occasional ideas or informal feedback), Contributor 5% (structured testing, documented feedback, periodic customer input), Product Manager 10% (regular testing, roadmap input, customer demonstrations, release review, support assistance), Product Owner 15% (sustained ownership-level contribution across support assistance, release acceptance, documentation, product improvement and monthly reporting).
While a sales commission is payable on a payment, your tier applies to what remains of Net Revenue after that sales commission; otherwise to Net Revenue in full.
Tiers are assessed monthly at NexTron's sole discretion, informed by recorded activity — portal logins, submitted testing and feedback, demonstrations, and support responses — which NexTron may keep for this purpose. Tier changes take effect from the first day of the following calendar month. The default tier, and the tier inactivity returns you to, is Adviser (0%). No contribution, no commission — the tier system replaces any notion of a passive ongoing entitlement.
Selling a tool you contribute to earns both: the sales trail for the introduction and your tier on the remainder.
Custom written terms for a specific customer or tool (email from NexTron suffices) override the tier percentages while in force.
4. Net Revenue — the number commissions are calculated on
Net Revenue means the subscription amount excluding GST, on payments received and retained (refunds and chargebacks excluded). Payment-processing fees (e.g. Stripe) are borne by NexTron and are not deducted from the commission base. If a payment is refunded or charged back, the related commission is deducted from your next statement. That is the only claw-back; a customer simply cancelling later costs you nothing already paid.
5. When you're paid
The customer's free month pays nobody.
Commission for a paid month becomes payable when the customer's next payment clears (e.g. their August commission is payable once September's payment lands).
Statements are per calendar month; settlement of your invoiced statement balance is made by the 10th of the following month (or the prior business day).
Payment by bank transfer against your valid tax invoice quoting your ABN and your bank details (we deliberately do not store bank details in the platform).
If you are GST-registered, add GST to your invoice; if not, don't. You warrant that the GST status recorded in your NexTron Portal is correct, will tell us promptly if it changes, and indemnify NexTron for any GST shortfall arising from an incorrect declaration.
Recipient-created tax invoices (RCTI): you and NexTron agree that NexTron may issue recipient-created tax invoices for commission payable under this agreement, and that you will not also issue tax invoices for those supplies. Both parties confirm they are registered for GST where required, and will notify the other if they cease to be registered or this agreement is no longer current. Where you are not GST-registered, NexTron issues recipient-created invoices without GST. Your monthly NexTron Portal statement forms the basis of each RCTI.
6. The relationship
You are an independent contractor — not an employee, agent, or joint venturer. You have no authority to sign, promise, warrant, discount, or incur costs on NexTron's behalf, and must refer anything beyond factual product help to NexTron.
All customer support is provided through NexTron's systems and under its direction. You indemnify NexTron against loss arising from representations, promises or advice you give outside your authority, or from your misconduct.
You may describe yourself as a "NexTron Sales Person" or "NexTron Product Contributor" (as applicable) and use our name and logo only for that purpose and per any brand guidance we give; anything beyond that needs written OK.
No pricing promises: only published pricing or a written NexTron quote may be represented to customers.
7. Confidentiality & data
Commission rates, product roadmaps, customer lists and anything not public stays confidential during and after this agreement.
Customer data belongs to the customer and NexTron; you access only what your role needs and handle it per Australian privacy law.
8. Ending it
You may end this agreement with 30 days' written notice. NexTron may terminate this agreement at any time, with or without reason, effective immediately on notice to you.
On termination by either side: no commission accrues on any payment received after the termination date — including sales trails on existing customers and contributor tiers. Commission properly accrued and payable as at the termination date is settled in the next normal payment cycle.
NexTron owns its products absolutely and at all times — including all software, customers, customer data, brands and intellectual property — and may modify, suspend, discontinue, close, or sell any product or the business at any time, at its sole discretion. Nothing in this agreement gives you any interest in, or right to compensation in respect of, any product, customer, or sale of the business — your entitlement is limited to commission accrued under clauses 2–5 up to the relevant date.
9. Housekeeping
Northern Territory law applies.
This document plus the Schedule is the whole agreement; changes in writing only.
Nothing here limits rights under Australian Consumer Law.

Acceptance is recorded electronically against your partner account, with version and date, when you agree in the NexTron Portal. Your Schedule (roles, tools, attribution and any custom packages) is maintained in the Portal itself.
